Tray Gaines Contract

The Versatile Impact LLC Contract is made effective as of by and between Trae Gaines and Darryl Lewis.

Date: Once a month on Tuesdays (Dates: TBA upon verbal agreement)

Time: 7:00pm - 9:00pm

Coffee Shop: 365 Railroad St, Royston, GA 30662

Description of Service: Darryl Lewis will provide Trae Gaines:

Promotional Video (up to 2 minutes)
Digital Raw Footage (Trae Gaines will be responsible for the storage)
High Quality Audio

Performance of Services: I, Darryl Lewis, will provide adequate coverage for Trae Gaines video content and will produce our highest quality video for Trae Gaines. Darryl Lewis will deliver the professionally produced video content in a timely manner.

Payment I, Trae Gaines, agree to pay Darryl Lewis, the sum of $200.00 at arrival time (7:00pm). As Trae Gaines makes more combine with Trading and Independent business owner, the more Darryl Lewis will get paid. I, Trae Gaines, promise to be honest when I consistently increase in making more money and will notify Darryl Lewis. Decision will be made base upon verbal agreement. Contract will be renewed every time price change.

Term: Darryl Lewis and Trae Gaines that this Contract shall begin on . Contract must be sign by June 7th, 2021. Darryl Lewis shall provide Trae Gaines with the video content of the final video of each month by or before 2 weeks after the date of filming on Tuesdays. Contract may be extended and/or renewed by agreement of all parties in writing thereafter.

WORD PRODUCT OWNERSHIP: Any copyrightable works, ideas, discoveries, product, or other information (collectively, the “Work Product”) developed in whole or in part by Darryl Lewis in connection with the Services will be the property of Trae Gaines. Upon request, Darryl Lewis will execute all documents necessary to confirm or perfect the exclusive ownership of Trae Gaines to the Work Product. Video content and raw footage cannot be shared with anyone else but Trae Gaines. I, Trae Gaines, agree not to share any raw footage or video content with anyone else. Promotional video, raw footage, and video content that Trae Gaines receive or create can only be publish on Trae Gaines social media platform. If anyone else is interested, they will have to sign there own contract with Darryl Lewis in order to receive raw footage or any type of video the wish to have.

All Platform Display Names:

Courtesy: The video content schedule and selected methodology are designed to accomplish the goals and wishes of Trae Gaines. Trae Gaines and Darryl Lewis that positive cooperation and punctuality are therefore essential.

Warranty: Darryl Lewis shall provide his or her services and meet his or her obligation under this contract in a timely and workmanlike manner, using knowledge and recommendation for performing the services which meet generally acceptable standards in Darryl Lewis community region, and will provide a standard of care equal to, superior to, care used by service provides similar to Darryl Lewis projects.

Default: The occurrence of any of the following shall constitute a material default under this contract.

The failure to make a required payment when due.
The insolvency or bankruptcy of either party.
The failure to make available or deliver the Services in the time of manner provided for in this contract.

Notice: Any notice or communication required or permitted under this Contract shall be sufficiently given if delivered in person or by email, return receipt requested or to such other address as one party may have furnished to the other in writing. Assignment Neither party may assign or transfer this Contract without the prior written consent of the non-assigning party, which approval shall not be unreasonably withheld.
