The Versatile Impact LLC Contract is made effective as of by and between Tim Gaines and Darryl Lewis.

Description of Service: Darryl Lewis will provide Elbert Parks and Recreation a promotional video.

Performance of Services: I, Darryl Lewis, will provide adequate coverage for Elbert Parks and Recreation video content and will produce our highest quality video for Elbert Parks and Recreation. Darryl Lewis will deliver the professionally produced video content in a timely manner.

Payment: I, Time Gaines, agree to pay Darryl Lewis, a total of $500 in consideration of the video content after film is completed.

Term: Darryl Lewis and Tim Gaines agree that this Contract shall begin on March 1, 2021. Contract must be sign then Payment is due once video is completed. Price and package plan could change if contract is not sign before March 3rd, 2021, 2021 by 12:00am. Darryl Lewis shall provide Elbert Parks and Recreation with the video content of the final design by or before April 3rd, 2021. Contract may be extended and/or renewed by agreement of all parties in writing thereafter.

WORD PRODUCT OWNERSHIP: Any copyrightable works, ideas, discoveries, product, or other information (collectively, the “Work Product”) developed in whole or in part by Darryl Lewis in connection with the Services will be the property of Antwan Heard. Upon request, Darryl Lewis will execute all documents necessary to confirm or perfect the exclusive ownership of Antwan Heard to the Work Product.

Courtesy: The video content schedule and selected methodology are designed to accomplish the goals and wishes of Antwan Heard. Antwan Heard and Darryl Lewis that positive cooperation and punctuality are therefore essential.

Warranty: Darryl Lewis shall provide his or her services and meet his or her obligation under this contract in a timely and workmanlike manner, using knowledge and recommendation for performing the services which meet generally acceptable standards in Darryl Lewis community region, and will provide a standard of care equal to, superior to, care used by service provides similar to Darryl Lewis projects.

Default: The occurrence of any of the following shall constitute a material default under this contract.

a. The failure to make a required payment when due b. The insolvency or bankruptcy of either party
c. The failure to make available or deliver the Services in the time of manner provided for in this contract.

Notice: Any notice or communication required or permitted under this Contract shall be sufficiently given if delivered in person or by email, return receipt requested or to such other address as one party may have furnished to the other in writing. Assignment Neither party may assign or transfer this Contract without the prior written consent of the non-assigning party, which approval shall not be unreasonably withheld.
